1. Acceptance of Terms

Welcome to eqaios.com (the "Website") and the EQAI Equine Genomics Intelligence Platform services ("Services") provided by GenoMatrix Technology (Shanghai) Co., Ltd. ("GenoMatrix"). By accessing or using this Website and Services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, please do not use our Services.

2. Description of Services

GenoMatrix provides the following services:

  • Genetic Database Access: Equine genomic variant database, breed gene frequency data, and functional annotation information
  • Analysis Tools: NCDS Athletic Performance Assessment Model, JumpHealth™ Genetic Disease Screening, JumpID™ Genetic Identity
  • API Services: Data query and analysis interfaces for third-party developer integration
  • Research Reports: Academic research reports and industry insights based on platform data

3. Account Registration and Use

  • You must be at least 18 years of age and have full legal capacity to register an account
  • Registration information must be truthful, accurate, and complete, and updated promptly upon any changes
  • You are solely responsible for all activities under your account
  • Account credentials must not be shared with others
  • GenoMatrix reserves the right to refuse registration or terminate accounts

4. Data Usage License

4.1 Data You Provide

You retain ownership of data ("User Data") that you upload or submit through the Services. You grant GenoMatrix a non-exclusive, worldwide license to use such data for providing the Services, improving the platform, and conducting analytical research.

4.2 Platform Data

Database content, analysis reports, and model outputs ("Platform Data") provided by GenoMatrix are licensed for your internal research use only. Without written authorization, you may not:

  • Mass-download, scrape, or copy Platform Data
  • Use Platform Data for commercial redistribution
  • Remove intellectual property notices from the data
  • Use Platform Data to train competing AI models

5. Paid Services

Certain advanced features require a paid subscription. Fees, payment terms, and refund policies are governed by specific service agreements. GenoMatrix reserves the right to adjust pricing, with a minimum of 30 days advance notice.

6. Disclaimer and Limitation of Liability

  • Platform data is based on current scientific understanding and does not constitute the sole basis for medical or breeding decisions
  • Genetic testing results are for research reference only and do not replace professional veterinary diagnosis
  • GenoMatrix shall not be liable for indirect, incidental, or consequential damages arising from use of the Services
  • Our total liability shall not exceed the total fees you have paid in the preceding 12 months

7. Intellectual Property

All intellectual property rights in website content, software code, database structures, algorithmic models, and brand identifiers are owned by GenoMatrix. JumpHealth™, JumpID™, JumpChain™, NCDS, and EQAI are registered trademarks or trademarks pending registration.

8. Termination

GenoMatrix may suspend or terminate the Services if you violate these Terms, without prior notice. You may also terminate your use at any time by deactivating your account. Upon termination, your right to continue using Platform Data ceases.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China. Disputes arising from these Terms shall first be resolved through amicable negotiation; if negotiation fails, the dispute shall be submitted to the competent People's Court in Shanghai.

10. Modifications to Terms

GenoMatrix reserves the right to modify these Terms. Modifications will be announced through the Website. Continued use of the Services constitutes acceptance of the modified Terms.
